Terms of Service

Effective date: 26 May 2026

1. Acceptance

By accessing or using Flock Funds (the “Index”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Index. You must be at least 18 years old to use Flock Funds. By using the Index you represent that you are of legal age and have the authority to enter into these Terms.

2. Description of Index

Flock Funds is a Solana meta index layer that enables software traders to discover, access, and pay for third-party Solana indexes via the Jupiter and PumpSwap payment protocols, settled in SOL on the Solana blockchain network. Flock Funds acts solely as a routing and payment intermediary; it does not produce, control, or warrant the output of any third-party index.

3. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, OR SECURITY. FLOCK FUNDS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM FLOCK FUNDS OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLOCK FUNDS AND ITS OPERATORS, CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF FUNDS, LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL OR FINANCIAL LOSS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

FLOCK FUNDS ACCEPTS NO LIABILITY WHATSOEVER TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, THE BASIS OF THE CLAIM, OR WHETHER FLOCK FUNDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLOCK FUNDS’S TOTAL AGGREGATE LIABILITY IS ZERO.

5. Blockchain and Cryptocurrency Risks

You acknowledge and accept the following risks inherent to blockchain-based payments:

  • Irreversibility. On-chain transactions are final and cannot be reversed, cancelled, or charged back. Flock Funds has no ability to recover funds sent to incorrect addresses or lost due to user error.
  • Network risk. Transactions depend on the Solana blockchain network, which may experience congestion, downtime, forks, or protocol changes outside Flock Funds control.
  • Smart contract risk. SOL and related contracts may contain vulnerabilities or be subject to regulatory action.
  • Regulatory risk. The legal status of SOL and Solana tokens and blockchain payments varies by jurisdiction and may change. You are solely responsible for compliance with laws applicable to you.
  • Value risk. Stablecoin values may deviate from their pegged value and Flock Funds makes no guarantee of value.

6. Wallet Custody and Funds

Flock Funds managed wallet feature (Managed mode) derives and controls a dedicated Solana wallet address on your behalf using a hierarchical deterministic (HD) key system. By using this feature you acknowledge that:

  • Flock Funds holds custody of the private key for your managed wallet address. You do not have independent access to this key.
  • Funds deposited to your managed wallet address are at risk in the event of a security breach, loss of key material, or index shutdown.
  • You should only deposit amounts appropriate for your intended usage. Do not treat a Flock Funds managed wallet as a long-term store of value.
  • Flock Funds will make reasonable efforts to return withdrawable balances in the event of index shutdown but makes no guarantee of recovery.
  • All per-buy charges are final. Failed token buys are not automatically refunded unless Flock Funds determines at its sole discretion that a refund is warranted.

7. Third-Party Indexes

Flock Funds routes requests to third-party index tokens discovered via the Jupiter and PumpSwap protocol registries. Flock Funds does not vet, endorse, control, or take responsibility for the accuracy, legality, quality, or availability of any third-party index. The content, data, or output returned by a third-party index is solely the responsibility of that token. Flock Funds is not liable for any harm arising from third-party index outputs.

8. Data and Routing Memory

To improve routing quality, Flock Funds may log the natural-language requests submitted through the Index (“routing memory”). This data is used exclusively to learn which indexes work well for your account and to improve routing accuracy. Routing memory is retained for a maximum of 90 days, after which raw request content is permanently deleted. Aggregated preference signals (which tokens performed well) are retained indefinitely as they are no longer attributable to specific requests.

You may disable routing memory at any time in your account settings. Disabling this feature will reduce routing personalisation quality for your account. Flock Funds will continue to apply global routing signals regardless of your preference setting.

Flock Funds does not sell your request data to third parties. Request content may be shared with third-party routing and infrastructure providers solely for the purpose of processing your routing request.

9. Acceptable Use

You agree not to use the Index to:

  • Violate any applicable law or regulation;
  • Facilitate money laundering, terrorist financing, or sanctions evasion;
  • Transmit malware, exploit vulnerabilities, or interfere with the Index or its infrastructure;
  • Circumvent rate limits, authentication, or access controls;
  • Resell or redistribute access to the Index without prior written approval;
  • Use the Index in any way that could damage, disable, or impair it.

Flock Funds reserves the right to suspend or terminate access for any violation of this section without notice or refund.

10. No Financial or Professional Advice

Nothing in the Index or its outputs constitutes financial, investment, legal, tax, or professional advice. Any market data, financial information, or analytical output returned through the Index is provided for informational purposes only. You should seek independent professional advice before making any financial decisions.

11. Indemnification

You agree to indemnify, defend, and hold harmless Flock Funds and its operators, contributors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Index; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or requests you submit through the Index.

12. Termination

Flock Funds may suspend or terminate your access to the Index at any time, for any reason or no reason, with or without notice. You may stop using the Index at any time. Upon termination, provisions of these Terms that by their nature should survive will survive, including Sections 3, 4, 5, 6, 11, and 13.

13. Changes to Terms

Flock Funds reserves the right to modify these Terms at any time. The effective date at the top of this page will be updated accordingly. Your continued use of the Index after any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Index.

14. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. These Terms constitute the entire agreement between you and Flock Funds with respect to the Index and supersede all prior agreements and understandings.
