Terms of Service

Effective date: 26 May 2026

1. Acceptance

By accessing or using Flock Funds (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. You must be at least 18 years old to use Flock Funds. By using the Service you represent that you are of legal age and have the authority to enter into these Terms.

2. Description of the Service

Flock Funds is a non-custodial web interface for discovering, composing, and (where enabled) trading tokenized baskets of Solana tokens, each basket referred to as a “Flock.” You connect your own self-custody Solana wallet; Flock Funds routes on-chain activity through Solana liquidity venues such as Jupiter and, where available, PumpSwap, with settlement in SOL on the Solana network. Flock Funds is currently in a bootstrap phase: on-chain vault contracts and live trading may not yet be enabled, and parts of the interface display live market data and draft tooling only. Flock Funds acts solely as an interface and routing layer; it does not custody your funds and does not issue, control, or warrant any token.

3. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, OR SECURITY. FLOCK FUNDS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM FLOCK FUNDS OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLOCK FUNDS AND ITS OPERATORS, CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF FUNDS, LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL OR FINANCIAL LOSS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

FLOCK FUNDS ACCEPTS NO LIABILITY WHATSOEVER TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, THE BASIS OF THE CLAIM, OR WHETHER FLOCK FUNDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLOCK FUNDS’S TOTAL AGGREGATE LIABILITY IS ZERO.

5. Blockchain and Cryptocurrency Risks

You acknowledge and accept the following risks inherent to blockchain-based payments:

  • Irreversibility. On-chain transactions are final and cannot be reversed, cancelled, or charged back. Flock Funds has no ability to recover funds sent to incorrect addresses or lost due to user error.
  • Network risk. Transactions depend on the Solana blockchain network, which may experience congestion, downtime, forks, or protocol changes outside Flock Funds control.
  • Smart contract risk. SOL and related contracts may contain vulnerabilities or be subject to regulatory action.
  • Regulatory risk. The legal status of SOL and Solana tokens and blockchain payments varies by jurisdiction and may change. You are solely responsible for compliance with laws applicable to you.
  • Volatility and liquidity risk. Solana tokens, including Pump.fun tokens that may appear in a Flock, are highly volatile, may become illiquid, and may lose all value. Flock Funds makes no guarantee of value, price, or tradability.

6. Wallet and Custody

Flock Funds is non-custodial. You connect and control your own Solana wallet (for example Phantom, Solflare, or Backpack) through a standard wallet connection. By using the Service you acknowledge that:

  • Flock Funds never takes custody of your funds and never has access to your seed phrase or private keys.
  • You are solely responsible for the security of your wallet, device, and keys. Loss of your keys means permanent loss of access to your funds, and Flock Funds cannot recover them.
  • All on-chain transactions are initiated and signed by you in your own wallet. Once signed and broadcast, a transaction is final.
  • Any draft Flocks or preferences you create in the interface may be stored locally in your browser and are not held by Flock Funds.

7. Third-Party Tokens

A Flock references third-party Solana and Pump.fun tokens identified through public sources and liquidity registries such as Jupiter. Flock Funds does not create, issue, vet, endorse, or take responsibility for any underlying token, its team, its contract, or its conduct. Underlying tokens may be fraudulent, abandoned, illiquid, or worthless. You are solely responsible for researching any token before interacting with a Flock. Flock Funds is not liable for any loss arising from third-party tokens.

8. Data

Flock Funds is a wallet-first interface that reads public on-chain data and public market data (such as token prices and basket NAV) to display information. Flock Funds does not require an email account or password. Your connected wallet address and any draft Flocks you create may be stored locally in your browser to provide the interface. Standard server logs and third-party infrastructure providers (for example hosting and RPC providers) may process technical request metadata solely to operate and secure the Service. Flock Funds does not sell your data.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation;
  • Facilitate money laundering, terrorist financing, or sanctions evasion;
  • Transmit malware, exploit vulnerabilities, or interfere with the Service or its infrastructure;
  • Circumvent rate limits, authentication, or access controls;
  • Resell or redistribute access to the Service without prior written approval;
  • Use the Service in any way that could damage, disable, or impair it.

Flock Funds reserves the right to suspend or terminate access for any violation of this section without notice or refund.

10. No Financial or Professional Advice

Nothing in the Service or its outputs constitutes financial, investment, legal, tax, or professional advice. Any market data or information displayed by the Service is provided for informational purposes only. You should seek independent professional advice before making any financial decisions.

11. Indemnification

You agree to indemnify, defend, and hold harmless Flock Funds and its operators, contributors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or requests you submit through the Service.

12. Termination

Flock Funds may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice. You may stop using the Service at any time. Upon termination, provisions of these Terms that by their nature should survive will survive, including Sections 3, 4, 5, 6, 11, and 13.

13. Changes to Terms

Flock Funds reserves the right to modify these Terms at any time. The effective date at the top of this page will be updated accordingly. Your continued use of the Service after any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

14. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. These Terms constitute the entire agreement between you and Flock Funds with respect to the Service and supersede all prior agreements and understandings.
